7

Document Processing and Data Lifecycle

Axiorem may process Customer Content through temporary storage, extraction, ingestion, indexing, chunking, retrieval, artificial-intelligence processing, and other technical operations necessary to provide the Service.

Where the Service is designed to delete original uploaded files after successful ingestion, such deletion is subject to the actual implementation of the relevant Service and may be affected by temporary processing requirements, security systems, backups, logs, legal requirements, technical failures, or other operational factors.

Processed representations of Customer Content may continue to exist within the applicable Project, including indexed chunks, structured representations, embeddings, metadata, or other derived representations, until the applicable Project or data is deleted in accordance with the Service's functionality and applicable retention requirements.

Deletion of a Project may result in deletion of associated processed content, subject to reasonable technical, security, legal, backup, and operational limitations.

The specific data-handling practices applicable to personal information are described in Axiorem's Privacy Policy and, where applicable, the relevant Data Processing Addendum.

8

AI Services

Axiorem uses AI technologies and may use third-party AI or model providers to deliver some or all AI functionality.

AI-generated outputs are produced computationally and may be incorrect, incomplete, outdated, ambiguous, misleading, inconsistent, or unsuitable for a particular purpose.

AI output is not guaranteed to be accurate, complete, legally sufficient, medically sufficient, technically sufficient, or professionally sufficient.

You are responsible for reviewing Generated Content before relying upon, distributing, publishing, assigning, deploying, or otherwise acting upon it.

Axiorem may employ retrieval, source grounding, structured generation, validation, refusal mechanisms, citation mechanisms, source references, content controls, or other safeguards intended to improve reliability.

Such safeguards do not guarantee that Generated Content will always be accurate or free of hallucination, omission, misinterpretation, duplication, or other error.

9

Training, Compliance, Safety and Regulatory Disclaimer

Axiorem may be used to create training and learning materials relating to safety, workplace operations, compliance, law, regulation, healthcare, cybersecurity, engineering, quality, human resources, financial services, or other regulated or consequential subject matter.

Axiorem does not independently certify that Generated Content complies with OSHA, ISO standards, HIPAA, GDPR, DPDP requirements, employment law, safety regulations, industry certification requirements, governmental requirements, accreditation requirements, professional licensing requirements, contractual obligations, or other legal, regulatory, professional, or industry requirements.

Generated Content must not be treated as a legal opinion, professional safety determination, medical advice, regulatory certification, engineering sign-off, employment decision, or other professional determination merely because it was generated by Axiorem.

Customers remain responsible for final review, approval, deployment, regulatory suitability, employee suitability, legal compliance, and determining whether training is appropriate for the intended population.

Where applicable, a qualified professional, safety officer, compliance officer, legal professional, medical professional, engineer, or other suitably qualified reviewer should review high-risk material before deployment.

10

Generated Learning Material

Axiorem may generate courses, modules, assessments, questions, scenarios, answer keys, explanations, learning objectives, checklists, simulations, certificates, SCORM packages, training plans, and related learning content.

The Customer is responsible for determining whether generated material accurately reflects the Customer's authoritative source, is suitable for the relevant employee or learner population, satisfies required accessibility standards, meets applicable legal or regulatory requirements, uses appropriate assessment difficulty and pass criteria, and has been reviewed by an appropriate person.

Axiorem does not guarantee compatibility with every LMS, SCORM implementation, browser, device, authoring environment, or third-party learning platform.

  • Courses and modules.
  • Assessments and multiple-choice questions.
  • Scenarios and answer keys.
  • Explanations and learning objectives.
  • Checklists and simulations.
  • Certificates.
  • SCORM packages.

11

Customer Review and Approval

The Customer must review and approve Generated Content before publishing it, distributing it, using it in employee training, using it to evaluate employees, using it for regulatory purposes, using it to make safety decisions, adopting it as an official corporate policy, or relying on it in any consequential decision.

Axiorem's provision of citations, source references, confidence scores, retrieval information, validation results, or missing-information notices does not eliminate the Customer's obligation to exercise independent judgment.

12

Customer Responsibilities for Workplace Training

Axiorem is a technology platform and does not assume the Customer's legal duties as an employer, operator, training provider, safety manager, regulator, or compliance officer.

  • Identifying required learners.

  • Use Axiorem as the sole basis for a high-impact decision where applicable law requires human involvement, review, or other safeguards.
14

Intellectual Property of Axiorem

Except for Customer Content and other material owned by Users or third parties, Axiorem and its licensors retain all rights, title, and interest in the Axiorem platform and its proprietary components.

These Terms do not grant you ownership rights in the Axiorem platform, including:

  • Security systems and other proprietary components of the Service.
15

Customer Outputs and Generated Content

Subject to third-party rights, applicable law, and any restrictions imposed by third-party model providers, Axiorem does not claim ownership of Customer-specific Generated Content merely because Axiorem generated it.

The Customer is responsible for determining whether Generated Content contains or incorporates material subject to third-party rights, licensing requirements, attribution obligations, or other restrictions.

Axiorem may retain limited technical information about generated outputs where reasonably necessary for security, troubleshooting, billing, abuse prevention, auditing, compliance, or operation of the Service.

16

Feedback

If you provide feedback, suggestions, bug reports, improvement ideas, feature requests, or other comments regarding Axiorem ("Feedback"), you grant Axiorem a perpetual, worldwide, transferable, sublicensable, royalty-free right to use and incorporate such Feedback into its products and services.

Axiorem will not interpret Feedback alone as granting it ownership of Customer Content.

17

Third-Party Services and AI Providers

Axiorem may rely on third-party services for authentication, cloud hosting, storage, AI and model inference, embeddings, database infrastructure, analytics, communications, payments, security, monitoring, customer support, LMS integration, and other technical functions.

Your use of certain features may therefore be subject to additional third-party terms.

Axiorem is not responsible for independent failures, outages, changes, security incidents, policies, or practices of third parties except to the extent required by applicable law or expressly assumed by Axiorem under a written agreement.

Axiorem may replace or add third-party providers where reasonably necessary to operate or improve the Service.

18

Model Providers and AI Infrastructure

Axiorem may transmit appropriate portions of Customer Content, prompts, instructions, or retrieved context to third-party AI providers when necessary to provide AI functionality requested by the Customer.

The applicable AI providers and subprocessors may change as the Service evolves.

Information concerning categories of processors, subprocessors, and applicable data-processing arrangements is addressed in the Privacy Policy and, where applicable, Axiorem's Data Processing Addendum.

Axiorem will not represent that Customer information is processed by a particular model or provider permanently unless expressly stated.

Model versions, providers, architectures, availability, latency, quotas, and capabilities may change.

19

Confidentiality

Each party may receive non-public information from the other that is reasonably understood to be confidential.

The receiving party will use reasonable measures to protect such confidential information and will not knowingly disclose it except to personnel or contractors who need access to provide or receive the Service, applicable subprocessors subject to appropriate obligations, where required by law, where necessary to prevent serious security or legal harm, with the other party's permission, or as otherwise permitted under these Terms.

Customer Content may be treated as confidential information except where the Customer has made the material publicly available or disclosure is otherwise authorized.

Confidentiality obligations do not apply to information that the receiving party can demonstrate was already lawfully known, becomes public without breach, was lawfully received from another source, was independently developed without use of confidential information, or must be disclosed by law.

20

Data Protection and Privacy

Axiorem's collection and processing of personal information is governed by the Axiorem Privacy Policy, as amended from time to time.

Where an Organization uses Axiorem to process personal information concerning employees, customers, contractors, patients, learners, or other individuals, the Organization remains responsible for determining the lawful basis and appropriate instructions for processing where required under applicable law.

Where required, Axiorem and the Customer may enter into a separate Data Processing Addendum.

Axiorem will not interpret Customer Content as automatically becoming Axiorem's own independent dataset merely because it is processed through the Service.

21

Security

Axiorem will implement reasonable technical and organizational measures appropriate to the nature of the Service and risks reasonably known to Axiorem.

Axiorem does not guarantee that the Service will be immune from all security vulnerabilities, attacks, breaches, outages, or unauthorized access.

Customers are responsible for maintaining the security of their own devices, credentials, integrations, networks, Authorized Users, and source materials.

  • Authentication controls.
  • Access restrictions.
  • Logging and monitoring.
  • Encryption.
  • Secure infrastructure.
  • Vulnerability management.
  • Backup processes.
  • Tenant isolation.
  • Secure development practices.
  • Incident response procedures.
22

Security Incidents

Where Axiorem becomes aware of a confirmed security incident materially affecting Customer Content or personal information, Axiorem will respond in accordance with its internal incident-response procedures and any applicable contractual or legal notification obligations.

The timing, content, and method of notifications will depend on the nature of the incident, applicable law, contractual obligations, whether sufficient facts have been established, and whether notification would compromise security, investigation, or legal requirements.

23

Subscriptions

Unless otherwise stated, a Subscription does not grant unlimited use of the Service.

Axiorem may enforce reasonable technical limits to prevent abuse and maintain system availability.

  • Plan.
  • Price.
  • Usage limits.
  • Number of Users.
  • AI credits.
  • Storage or processing limits.
  • Feature access.
  • Billing frequency and renewal conditions.
24

Free and Trial Plans

Axiorem may provide free plans, trials, beta access, promotional access, credits, or limited functionality.

Free or promotional access may have limited features, lower processing quotas, limited retention, different support levels, and may not include enterprise guarantees.

Such access may be discontinued or changed without notice where permitted by law.

Axiorem may restrict multiple accounts or repeated attempts to obtain promotional benefits.

25

Fees and Payment

Paid Subscriptions are billed according to the applicable order, pricing page, checkout page, or agreement.

Axiorem may use third-party payment processors and does not ordinarily receive or store complete payment-card credentials where payment processing is handled by a third-party processor.

You agree to:

  • Provide accurate billing information.
  • Pay all applicable amounts when due.
  • Pay applicable taxes unless otherwise required by law.
  • Maintain a valid payment method.
  • Authorize recurring charges where applicable.
26

Taxes

Prices may exclude applicable taxes unless expressly stated otherwise.

You are responsible for taxes imposed on your purchase or use of the Service, except taxes imposed on Axiorem's net income or taxes that Axiorem is legally required to collect from you.

27

Renewals

Unless otherwise stated, paid Subscriptions may automatically renew for successive billing periods.

The renewal price may be the then-current applicable rate unless a separate written agreement provides otherwise.

You may cancel before renewal in accordance with the cancellation procedures displayed for your Subscription.

28

Refunds and Cancellation

Refund eligibility is determined by the applicable Subscription plan, checkout terms, promotional terms, applicable law, and any separate written enterprise agreement.

Cancellation generally prevents future renewal but does not automatically entitle the Customer to a refund for an already commenced billing period unless required by applicable law or expressly stated otherwise.

Mandatory consumer rights, where applicable, remain unaffected.

29

Suspension

Where reasonably practicable, Axiorem will seek to provide notice before suspension.

  • Security threats.
  • Suspected abuse.
  • Unlawful activity.
  • Violation of these Terms.
  • Non-payment.
  • Excessive infrastructure use.
  • Compromise of an Account.
  • Threats to other Users.
  • Legal requirements.
  • Third-party provider restrictions.
  • Circumstances that materially threaten the Service.
30

Termination

Either party may terminate the contractual relationship as permitted by these Terms or an applicable written agreement.

Axiorem may terminate an Account or Service access where the Customer materially breaches these Terms and fails to cure the breach within a reasonable period where cure is appropriate.

Axiorem may immediately suspend or terminate access where continued use presents an immediate security, fraud, legal, or material operational risk.

Upon termination:

  • The right to use the Service ends.
  • Access may be disabled.
  • Customers should export information they require before termination where export functionality is available.
  • Projects and associated processed representations may be deleted in accordance with the applicable deletion process.
  • Outstanding payment obligations survive.
  • Provisions intended by their nature to survive termination will continue.
31

Data Deletion After Termination

Upon Account or Project deletion, Axiorem will delete applicable data according to its then-current technical deletion processes and applicable legal or contractual requirements.

Some information may remain temporarily in security logs, backups, disaster-recovery systems, accounting records, legal records, fraud-prevention systems, or other systems where immediate deletion is technically impracticable or legally prohibited.

Such retained information will remain subject to appropriate restrictions and will not be retained longer than reasonably necessary for the relevant purpose.

32

Export

Where export functionality is offered, Axiorem may permit Customers to export certain Customer Content or Generated Content in supported formats.

Axiorem does not guarantee permanent availability of a particular export format.

Customers should maintain appropriate independent copies of business-critical content.

SCORM packages and other exported learning artifacts may be subject to compatibility limitations imposed by receiving systems.

33

Availability and Service Changes

Axiorem will use commercially reasonable efforts to operate the Service, but the Service is not guaranteed to be uninterrupted or error-free.

Service interruptions may result from maintenance, infrastructure outages, cloud-provider failures, AI-provider outages or quotas, network problems, cybersecurity incidents, software defects, force majeure, third-party integrations, or circumstances beyond Axiorem's reasonable control.

Axiorem may modify infrastructure, model providers, algorithms, workflows, interfaces, or implementation methods where reasonably necessary to operate and improve the Service.

34

No Professional Advice

Axiorem does not provide legal advice, medical advice, engineering approval, professional safety certification, regulatory certification, tax advice, financial advice, employment-law advice, or other professional advice.

Use of the Service does not establish a professional-client relationship.

To the maximum extent permitted by applicable law, the Service is provided on an "as available" and "as is" basis.

Axiorem disclaims warranties to the extent legally permitted, including implied warranties relating to merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, completeness, reliability, suitability, and error-free operation.

Nothing in these Terms excludes a warranty or statutory right that cannot lawfully be excluded.

37

Limitation of Liability

To the maximum extent permitted by applicable law, Axiorem and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service.

This may include, where legally permissible, loss of profits, loss of revenue, loss of business opportunity, loss of anticipated savings, loss of goodwill, loss of data, business interruption, or reputational harm.

To the maximum extent permitted by applicable law, Axiorem's aggregate liability arising from the Service shall not exceed the amount specified in the applicable Subscription, Order Form, enterprise agreement, or other applicable written agreement.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

38

Indemnification

Indemnification obligations shall not apply to the extent the claim resulted from Axiorem's own liability that cannot lawfully be allocated to you.

  • Unauthorized Customer Content.
  • Infringement of third-party rights by Customer Content.
  • Your violation of these Terms.
  • Unlawful use of the Service.
  • Misuse of the Service.
  • Unauthorized access caused by your failure to maintain Account security.
  • Violation of applicable law.
  • Claims arising from materials or instructions supplied by you.
41

Audit and Enterprise Requirements

Enterprise Customers may be subject to additional terms addressing security, privacy, data processing, service levels, support, data residency, confidentiality, compliance, audits, subprocessors, and business continuity.

Such requirements may be established through an MSA, Order Form, DPA, SLA, Security Addendum, or other written agreement.

Where there is a conflict between an executed enterprise agreement and these Terms, the executed agreement controls to the extent of the conflict.

42

International Use

Axiorem may be accessible internationally.

You are responsible for ensuring that your use of the Service and Customer Content complies with laws applicable to you.

Customers must not use the Service in jurisdictions or circumstances where use would violate applicable export-control, sanctions, data-transfer, privacy, employment, sector-specific, or other laws.

Axiorem may implement geographic restrictions where reasonably necessary for legal, security, technical, or commercial reasons.

43

The specific rights and procedures available depend on applicable law and the individual's circumstances.

Changes to These Terms

Axiorem may update these Terms from time to time.

For material changes, Axiorem may provide notice through email, an in-product notice, website notification, Account notification, or another reasonable communication method.

Updated Terms will identify the relevant effective date.

Continued use of the Service after the effective date constitutes acceptance of updated Terms where permitted by applicable law.

Where legally required, Axiorem will obtain renewed consent.

47

You may not assign or transfer your rights or obligations under these Terms without Axiorem's prior written consent, except where such restriction is prohibited by applicable law.

Axiorem may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of substantially all assets, financing, change of control, or transfer to an affiliate.

48

Force Majeure

Axiorem is not responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, epidemics, widespread infrastructure failure, cloud-provider failure, telecommunications failure, cyberattacks by third parties, power outages, AI-provider outages, or other unforeseeable events beyond reasonable control.

49

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in effect to the extent permitted by law.

50

Waiver

Failure to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision later.

51

Entire Agreement

These Terms, together with applicable Order Forms, the Privacy Policy, Data Processing Addendum, SLA, Security Addendum, AI Services Addendum, and other expressly incorporated documents constitute the agreement governing your use of the Service.

53

No Waiver of Mandatory Rights

Nothing in these Terms is intended to exclude or restrict rights, remedies, protections, or obligations that cannot legally be excluded, limited, waived, or contracted out of.

Where a provision of these Terms conflicts with a mandatory requirement of applicable law, the mandatory requirement controls to the extent of the conflict.

54

Interpretation

  • Headings are provided for convenience and do not affect interpretation.
  • "Including" means "including without limitation."
  • The singular includes the plural and vice versa where the context requires.
55

  3. You agree to be legally bound by them.
  4. Where you act on behalf of an Organization, you have authority to bind that Organization.
